Objectives and Purposes
(a) One purpose of this organization is to provide
entrepreneurial training through various seminars,
distribution of literature and providing a conduit to other
business resources available — commercial and
governmental. This will be an ongoing process, which will
comprise 75% of the activity and resources of the
organization.
(b) The organization will also provide academic
scholarships to qualifying individuals. Qualifications will be
based on financial needs and academic achievements.
(c) Mentoring and other student training programs
will be accomplished by direct contact with area schools.

TKHCC FOUNDATION
ARTICLE I
The name of the corporation is TKHCC
Foundation.
ARTICLE II
A. This corporation is a nonprofit Public
Benefit Corporation and is not organized for the
private gain of any person. It is organized under
the Nonprofit Public Benefit Corporation Law for
public and charitable purposes.
B. The specific purpose for which this
corporation is organized is to provide academic
scholarships, to provide entrepreneurial training
and to organize and implement mentoring and
other student training programs.
ARTICLE III
The name and address in the State of California
of this corporation's initial agent for service of
process is Raymond C. Macareno, 1900 North
Dinuba Boulevard, Suite E, Visalia, CA 93291.
ARTICLE IV
A. This corporation is organized and
operated exclusively for charitable purposes
within the meaning of Internal Revenue Code
section 501(c)(3).
B. Notwithstanding any other provision of
these Articles, the corporation shall not carry on
any other activities not permitted to be carried on
(1) by the corporations exempt from federal
income tax under Section 501(c)(3) of the Internal
Revenue Code or (2) by a corporation
contribution to which deductible under Section
170(c)(2) of the Internal Revenue Code.
C. No substantial part of the activities of this
corporation shall consist of carrying on
propaganda, or otherwise attempting to influence
legislation, and the corporation shall not
participate or intervene in any political campaign
(including the publishing or distribution of
statements) on behalf of any candidate for public
office.
ARTICLE V
A. The property of this corporation is
irrevocably dedicated to educational purposes
and no part of the net income or assets of this
corporation shall ever inure to the benefit of any
director, officer or member thereof or to the
benefit of any private person. Upon the
dissolution or winding up of the corporation, its
assets remaining after payment, or provision for
payment, of all debts and liabilities of this
corporation shall be distributed to a nonprofit
fund, foundation or corporation which is
organized and operated exclusively for
educational purposes and which has established
its tax exempt status under Internal Revenue
Code section 501(c)(3).
B. The corporation shall distribute its income
for each tax year at such time and in such
manner as not to become subject to the tax on
undistributed income imposed by Section 4942 of
the Internal Revenue Code.
C. The corporation will not engage in any act
self-dealing as defined in Section 4941(d) of the
Internal Revenue Code.
D. The corporation shall not retain any
excess business holding as defined in Section
4943(c) of the Internal Revenue Code.
E. The corporation shall make any
investments in such a manner to subject it to tax
under Section 4944 of the Internal Revenue Code.
F. The corporation will not make any taxable
expenditure as defined in Sections 4945(d) of the
Internal Revenue Code.
